These terms are the agreement between you, the merchant who installs Stockbeam on a Shopify store, and Sam McNulty, trading as Stockbeam (sole trader, United Kingdom). In these terms "we" and "us" mean Sam McNulty trading as Stockbeam, and "you" means the merchant and the store the app is installed on.
You accept these terms by ticking the box in the app to say you accept them, and in any event by using Stockbeam. We keep a record of that acceptance, including your store's domain and Shopify store ID, the date and time, and which version of these terms and of the Privacy Policy you accepted. The Privacy Policy sets out the full record and how long we keep it.
Stockbeam is an inventory replenishment app. It reads your catalogue and sales history from Shopify, works out what looks like it needs reordering, and helps you produce and receive purchase orders. How we handle data is set out in our Privacy Policy, which forms part of these terms.
Shopify distributes this app. It does not make it. Specifically:
So if something in the app is wrong, it comes to us, not to Shopify. Shopify remains responsible for Shopify: your store, your admin, your billing and the data it holds are governed by your own agreement with Shopify. Between you and us, who is responsible for what is set out in "What you are responsible for" and "The limit of what we owe you".
Nothing in these terms restricts how you run your business. You may trial, use, switch to or return from any other app, including apps that compete with Stockbeam, at any time, and you may buy from whichever suppliers you like on whatever terms you like. We ask for no exclusivity of any kind.
This matters more here than in most apps, because the app's whole job is to put a number in front of you and that number is money.
Everything Stockbeam shows you (reorder points, suggested quantities, days of stock, forecasts, dead-stock and budget figures) is arithmetic on the sales history Shopify gives us and on the lead times and settings you enter. It is information to help you decide. It is not purchasing, financial, tax or other professional advice, and it is not a recommendation that we stand behind as advice.
You decide what to order, how much, and from whom. The app never places an order by itself: nothing reaches a supplier unless you press send on that order. When you do, the message goes out through our email provider from our address, naming you as the sender, with your own address for replies. Stockbeam sends purchase orders by email up to a daily limit shown in the app. Past sales do not predict the future, your suppliers and your market can change overnight, and some of the inputs (lead times, minimum order quantities, costs) come from you. Check the figures against what you know about your own business before you spend money.
Stockbeam explains its reorder suggestions. Each one comes with the main figures behind it, in plain words, such as how fast the product sells, the lead time, the stock you have and have on order, and any buffer, minimum or rounding applied. That is deliberate. It lets you check a suggestion before you act on it, and it means the buying decisions are yours. As between you and us, you are responsible for:
If a figure looks wrong, check it before you rely on it, and tell us at support@stockbeam.app.
Being responsible for your decisions does not mean you carry the cost of Stockbeam failing to do what you told it to. If it changes your Shopify inventory other than as you confirmed, sends something other than what you approved, or loses or corrupts data you entered or imported, the cost of putting that right is ours, up to the limit in "The limit of what we owe you".
You must have the authority to install an app on the store you install it on. Anything done in Stockbeam by the people with access to your Shopify admin or POS, or through an assistant or tool you connect to Stockbeam, counts as done by you.
You agree not to:
Report a security problem to support@stockbeam.app and we will not treat honest, non-destructive reporting as a breach of these terms.
If you seriously or repeatedly break the list above we may suspend or end your access, and we will tell you why. Out-of-date lead times or costs are not that: inaccurate figures make the app worse for you, and are never a ground for us to suspend anything. You can end this agreement whenever you like by uninstalling the app.
If someone brings a claim against us or against Shopify because of something you did with Stockbeam that these terms do not allow (using it to break the law, infringing someone's rights, reselling or re-branding it, or giving us personal data you had no right to give us), you will cover the reasonable losses, costs and legal fees we run up dealing with that claim.
That is all this covers. It does not apply to a claim about how the app works, about our figures or suggestions, about our security, or about anything we did or failed to do; you do not have to cover us for those. If a claim this section does cover comes in, we will tell you promptly, let you take part in defending it, follow your reasonable directions about it, and not settle it without asking you first.
We own Stockbeam: its code, its design, its name and its calculations. Installing it gives you permission to use it on your store while these terms are in force, and nothing more; no part of the app itself becomes yours.
You own your data: your catalogue, your sales history, your suppliers, your purchase orders, your settings and everything you enter or import. You give us permission to store and process it only to run Stockbeam for you and to support you when you ask. We do not sell it, do not share it for anyone else's purposes, and do not use it for any purpose other than running the app for you. If you send us feedback or a feature request we may act on it without owing you anything for it.
We promise to provide Stockbeam with reasonable care and skill, and to fix faults you report within a reasonable time of being able to reproduce them. If we break that promise, you keep the remedies the law gives you, limited only by the next section. Us fixing something is not instead of your other rights.
We do not promise that the app will be available without interruption, that it will be free of errors, that it will suit any particular purpose of yours, or that its suggestions will turn out to be right or profitable. Beyond the promise above and anything else written down in these terms, we give no other warranty, and any warranty or condition the law would otherwise imply is excluded as far as the law allows.
The app depends on Shopify's APIs and on the providers named in the schedule below. When Shopify changes an API, rate-limits us, or has an outage, parts of the app can stop working until we adapt, and we cannot promise otherwise.
This section limits the money we have to pay you if something goes wrong. Please read it. It is the part of these terms that most affects what you get if the app lets you down, and we have written it plainly rather than burying it.
What we never limit. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit or exclude. Nothing in these terms affects your rights against Shopify under your own agreement with Shopify.
Suggestions are yours to judge. Stockbeam's suggestions, forecasts and other figures are estimates for you to check, and you decide whether to act on them. Except as the next paragraph says, we are not liable for any loss that comes from an order you placed, sent or approved, or from any other decision you made using Stockbeam's figures, even if a figure was wrong because of a mistake or fault on our part.
What we do cover: Stockbeam not doing what you told it to. If Stockbeam changes your Shopify inventory other than as you confirmed (a different amount, product or location, or the same change twice), fails to make a change you confirmed without telling you it has not gone through, sends a purchase order other than the one you approved or to a different address from the one you chose, or loses or corrupts data you entered or imported, the direct cost of putting that right is a claim you can bring, up to the limit below. What you confirmed includes conversions using pack sizes you entered, and anything the app told you it would do, such as receiving into another location that stocks the product.
The most we pay. Apart from the things listed under "What we never limit", the most we will pay you in total for all claims arising in any twelve-month period, whether the claim is for breaking these terms, for negligence, for breaking the data protection schedule below, or on any other basis, is whichever of these is the larger:
This limit also applies to any claim about suggestions or figures that "Suggestions are yours to judge" turns out not to exclude.
The fixed floor is there on purpose. Most stores use Stockbeam for nothing and the paid plan is $15 a month, so a limit measured only against what you have paid us would come to very little, or to nothing at all. $700 is several times what the paid plan costs in a year, and it is an amount that Stockbeam, which is one person and not a company, can actually pay. We would rather give you a limit that means something than one a court would throw out.
If a loss is partly down to you. If something you did or did not do helped cause a loss, for example confirming a quantity without checking it, or carrying on after you knew a figure was wrong without telling us, what we owe is reduced to match your share of the blame, as a court would reduce it.
Losses we do not cover at all. We are not liable for loss of profit, loss of revenue, loss of anticipated savings, loss of business, loss of goodwill or reputation, loss of an opportunity, or business interruption, and we are not liable for any loss that is indirect or consequential, however it arises and whether or not we knew it was possible.
If this does not work for you. This limit is the same for every merchant and we do not negotiate it store by store. If it is not enough for your business, tell us at support@stockbeam.app before you accept these terms in the app and we will say honestly whether we can do anything. There are other replenishment apps with other terms. You are free to use any of them, and we would rather you chose with this in front of you.
Each paragraph in this section stands on its own. If a court decides one of them goes too far, the others still apply.
Stockbeam is free while your store is within the SKU allowance shown on your Settings page: 1,000 tracked SKUs on a new install, and some stores keep a different allowance from when they installed. Above your allowance the app keeps working rather than shutting: the free plan shows suggestions for that many products, holds the rest back, and pauses creating purchase orders for your Shopify products and importing Stocky purchase orders until you upgrade. The paid plan covers all of them, at $15 a month, plus any tax Shopify adds in your country, after a 14-day free trial.
Shopify handles the plan picker, the checkout and the charging: the price you see at checkout in your Shopify admin is the price, and it appears on your Shopify bill rather than as a separate invoice from us.
If we change the price we will tell installed merchants before the change takes effect, and you can cancel rather than accept it.
A 14-day free trial runs before you are charged anything, so you can find out whether the app works for your store before paying for it. Monthly charges are not refunded as a rule. Shopify does not handle refunds for third-party app charges; we do, and the decision is ours. But if you have paid for time you did not use, email support@stockbeam.app and we will consider it. Cancelling is done from your Shopify admin and uninstalling the app stops future billing cycles, though a charge Shopify has already added to your current invoice will still appear on it.
You can end it at any time by uninstalling Stockbeam from your store. We can end it if you break these terms, or if we stop offering the app, in which case we will give installed merchants reasonable notice and time to export their data. When it ends, your access stops and your data is deleted as described in the Privacy Policy.
If we change these terms materially we will update the date below and tell installed merchants by email. Carrying on using the app after that means you accept the change; if you do not, uninstall.
Stockbeam keeps a copy of every version of these terms you have accepted and will send it to you on request at support@stockbeam.app.
These terms, and any dispute or claim about them or about Stockbeam, are governed by the law of England and Wales. Any such dispute or claim may be brought only in the courts of England and Wales, and you and we both agree those courts have jurisdiction to decide it. If any part of these terms turns out to be unenforceable, treat it as removed; the rest still applies.
This schedule is the data protection agreement between us. Full detail, including retention periods and your rights, is in the Privacy Policy.
The section headed "Shopify's position" is there for Shopify's benefit as well as ours, and Shopify may enforce it against you under the Contracts (Rights of Third Parties) Act 1999. Nobody other than Shopify, you and us has any right to enforce any part of these terms. You and we may change or cancel these terms at any time without needing Shopify's consent or anyone else's.
